1. Treat all Confidential Information as strictly confidential and commercially sensitive.

2. Not disclose, reproduce, forward, download, or distribute Confidential Information to any third party without Touchstone’s prior written consent.

3. Use Confidential Information solely for evaluating a potential commercial, financial, or investment transaction with Touchstone or its portfolio companies.

4. Implement appropriate technical and organizational security measures to prevent unauthorized use or disclosure.

5. Immediately cease all use and permanently delete/destroy Confidential Information upon conclusion of your evaluation or upon request by Touchstone.

3. Non-Circumvention & Non-Disclosure

As a condition of accessing this Site and its Confidential Information, you hereby agree to be bound by the principles of Non-Disclosure and Non-Circumvention, regardless of whether a separate Non-Disclosure Agreement (NDA) has been executed.

You expressly undertake that you shall not, directly or indirectly:

Circumvent Touchstone by approaching, contacting, soliciting, or transacting with any counterparty, investor, client, project sponsor, government body, vendor, or entity introduced through the Site or by Touchstone;

Enter into, solicit, negotiate, or participate in any transaction, investment, or commercial arrangement with such parties without the prior written authorization of Touchstone.

This obligation shall remain in force for a period of five (5) years from the date of your first access to the Site and shall survive any termination of your access, relationship, or communication with Touchstone.

Any materials referencing tokens, digital assets, SPVs, or private placement structures are subject to significant regulatory, legal, and tax restrictions.

Touchstone makes no representation or warranty that any such products are approved, licensed, compliant, or suitable in any jurisdiction.

Access to such information does not constitute investor qualification or eligibility. Users are solely responsible for ensuring compliance with all applicable KYC/AML, professional investor, accredited investor, and jurisdiction-specific requirements.

5. Governing Law & Jurisdiction

This Site, its use, and all disputes arising therefrom shall be governed by and construed in accordance with the laws of England and Wales.

By accessing this Site, you irrevocably submit to the exclusive jurisdiction of the courts of the United Kingdom.

6. Enforcement, Remedies & Indemnity

Any unauthorized use, disclosure, or breach of this policy may subject you to injunctive relief, damages, and all remedies available under law or equity, without limitation.

You agree to indemnify, defend, and hold harmless Touchstone, its affiliates, officers, directors, employees, and representatives against all claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in connection with your breach of this disclaimer and confidentiality policy.
